VI. DISPUTES AND ARBITRATION
You agree to arbitrate any disputes. This Agreement is subject to, and shall be governed by, and construed in accordance with the laws of Nigeria, without reference to the principles of conflict of laws thereof. Any matters arising concerning the interpretation, validity or implementation of this Agreement not solved by mutual agreement between the Parties shall be submitted to arbitration in the English language before a sole arbitrator to take place in FCT-Abuja, Nigeria as the seat of the arbitration. The arbitration shall be conducted pursuant to the Rules of Arbitration of the Chartered Institute of Arbitrators of the United Kingdom. The arbitral decision shall be final and binding on the Parties and may be made an order of court. The Parties unconditionally consent and submit to the jurisdiction of the FCT High Court of Abuja, Nigeria for such purpose.
We agree to be held responsible for any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with: (i) Blueskytf’s use of your User Content; or (ii) Our inability to deliver on our pledge of assured return on investment.
Privacy of communication is subject to the terms set out in the Privacy Policy.
By using the Services, you acknowledge that you have read and agree to be bound by this Agreement and all terms and conditions on this Website.
Force Majeure: Blueskytf will not be deemed in default hereunder or held responsible for any interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labour strike, lockout, or boycott.
Effect of Waive: The failure of Blueskytf to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.
Liquidate: Means you withdraw your investment amount with the calculation of applicable interests. You are entitled to liquidate your investment amount according to liquidate policies of each investment.
Governing Law: This Agreement will be governed by the laws of the State of FCT without regard to its conflict of law principles to the contrary. Neither you nor Blueskytf will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in State of FCT, Nigeria. By using this Website, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim arising under or by reason of this Agreement.
Statute of Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Products or Services or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Termination: Blueskytf reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement. Following termination, you will not be permitted to use the Website and Blueskytf may, in its sole discretion and without advance notice to you, cancel Product or Services. If your access to the Website is terminated, Blueskytf reserves the right to exercise whatever means it deems necessary to prevent unauthorized access of the Website. This Agreement will survive indefinitely unless and until Blueskytf chooses, in its sole discretion and without advance to you, to terminate it.
Domestic Use: Blueskytf makes no representation that the Services are appropriate or available for use in locations outside Nigeria. Users who access the Website from outside Nigeria do so at their own risk and initiative and must bear all responsibility for compliance with any applicable local laws.
Assignment: You may not assign your rights and obligations to anyone. Blueskytf may assign its rights and obligations in its sole discretion and without advance notice to you.
XI. TAXATION
1. Unless otherwise specified, all the fees applicable for this Platform and/or contained in the Fee Schedule, are exclusive of all taxes, duties, fees or other amounts, assessed and imposed by the government authorities in Nigeria (current and/or future) and shall be fully borne by the Investor.
2. If Blueskytf is required by any applicable law to make any withholding in respect of any taxes for the returns on the Investment due to the Investor under this Investor’s T&C, Blueskytf shall remit the applicable withholding tax to the tax authority and shall pay the net amount to the Investor. Blueskytf will furnish the Investor with all official receipts evidencing payment of taxes to the appropriate taxing authority.
